1. Agreement to Terms

By accessing or using the Banca Vant website (bancavant.com) or engaging our services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our website or services.

2. Description of Services

Banca Vant provides operational cost diagnostic and consulting services for small food businesses in Paraguay. Our services include:

• On-site operational assessment and measurement
• Cost analysis and calculation for food products
• Delivery of cost calculation spreadsheets and documentation
• Training on maintaining cost records

Our services are focused exclusively on operational cost analysis. We do not provide accounting, tax preparation, financial planning, or business strategy services.

3. Service Scope and Limitations

What We Do:

• Measure and document operational processes
• Calculate costs per unit based on observed data
• Provide cost analysis spreadsheets
• Explain how to maintain and update cost records

What We Do Not Do:

• Provide accounting or bookkeeping services
• Prepare tax returns or financial statements
• Offer business strategy or marketing advice
• Guarantee specific business outcomes or profitability
• Provide ongoing consulting or subscription services

4. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate information about your business operations
• Allow access to your business location during agreed-upon times
• Cooperate with our measurement and observation processes
• Maintain confidentiality of proprietary methodologies we share
• Use the delivered cost analysis for informational purposes
• Update cost records as your operations or prices change

5. Accuracy of Information

Our cost analysis is based on observations and measurements taken during our on-site visit. While we make every effort to ensure accuracy, the analysis represents conditions at the time of observation. Actual costs may vary due to:

• Changes in ingredient prices
• Variations in portion sizes or preparation methods
• Seasonal fluctuations in availability or costs
• Changes in energy prices or operational efficiency

You are responsible for updating the provided cost spreadsheet as conditions change.

6. Intellectual Property

The cost calculation spreadsheet and analysis we provide become your property upon delivery. However, our proprietary measurement methodologies, analytical frameworks, and documentation templates remain our intellectual property. You may not reproduce, distribute, or sell our methodologies or templates to third parties.

7. Confidentiality

We treat all information about your business operations, costs, and processes as confidential. We will not disclose your business information to third parties except as required by law or with your explicit consent. You agree to keep confidential any proprietary methods or tools we use during our service delivery.

8. Payment Terms

Service fees and payment terms are established in individual service agreements. Payment is typically required before delivery of the final cost analysis report. We accept payment methods common in Paraguay including bank transfers and cash.

9. Cancellation and Refunds

Cancellation policies and refund terms are specified in individual service agreements. Generally:

• Cancellations made at least 48 hours before scheduled on-site visits may receive full refunds
• Cancellations made less than 48 hours before visits may be subject to cancellation fees
• Once on-site work has begun, services are non-refundable
• If we cannot complete the diagnostic due to our fault, full refunds will be provided

10. Limitation of Liability

To the fullest extent permitted by law:

• Banca Vant provides cost analysis services on an "as is" basis
• We make no guarantees about business outcomes or profitability
• We are not liable for business decisions made based on our analysis
• Our total liability shall not exceed the amount paid for our services
• We are not liable for indirect, consequential, or incidental damages

This limitation applies to the fullest extent permitted under Paraguayan law.

11. Disclaimer of Warranties

We provide our services with professional care and expertise. However, we make no warranties, express or implied, regarding:

• The accuracy of cost projections beyond the observation period
• Business profitability or success based on our analysis
• The suitability of our recommendations for your specific situation
• Outcomes from implementing changes based on our findings

12. Indemnification

You agree to indemnify and hold harmless Banca Vant, its owners, employees, and contractors from any claims, damages, or expenses arising from:

• Your use of our services or deliverables
• Your violation of these Terms of Service
• Your violation of any rights of third parties
• Inaccurate information you provide to us

13. Website Use

When using our website, you agree not to:

• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the website
• Use automated systems to access or scrape content
• Transmit malicious code or harmful content
• Violate any applicable laws or regulations

14. Governing Law and Jurisdiction

These Terms of Service are governed by the laws of Paraguay. Any disputes arising from these terms or our services shall be resolved in the courts of Asunción, Paraguay. By using our services, you consent to the jurisdiction of these courts.

15. Dispute Resolution

In the event of any dispute, we encourage you to contact us first to seek an amicable resolution. If informal resolution is not possible, disputes may be submitted to mediation before pursuing legal action, as is customary in Paraguayan business practice.

16. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.

17. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid under Paraguayan law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms of Service, together with our Privacy Policy and any individual service agreement, constitute the entire agreement between you and Banca Vant regarding our services. These terms supersede any prior agreements or understandings.
